GRANT OF LICENSE; DESCRIPTION OF COPYRIGHTED MATERIALS

Licensor grants to licensee a license to use, subject to all of the terms and conditions of this agreement, the following described YOUTHRIVE CURRICULUM MATERIALS owned by Enacting Change: Windsor in Windsor, Ontario: The YouThrive Curricula including and encompassing all education materials distributed by and on the www.enactusyouthrive.com and www.enactusyouthrive.ca website domains and all material therein as copyrighted and trademarked to Enacting Change: Windsor by innovation, Science and Economic Development Canada.

LIMITATION TO DESCRIBED PURPOSE

The above-described digital resource property may be used by licensee solely for financial education in conjunction with the YouThrive program and its mentors and administrators and for incidental purposes related to such purposes and continuing until this agreement is terminated as provided in this agreement.

PAYMENTS

Licensee shall pay licensor for this license at the rate of $250.00 exempt from GST/HST per CLASSROOM (considered to be one class of a subject with a sole identifier name, number or alphanumeric code) in a recognized school in the Province of Ontario. Payment is payable in advance. The first payment shall be made on the date of the beginning of the period specified above. 

TERMINATION

1. Termination constitutes a termination of license granted to the licensee by the licensor (Enacting Change: Windsor).
   

2. Either party may terminate this agreement at any time and for any purpose by specifying the date of termination in written notice.  

3. All fees collected are non-refundable upon termination by the licensee. 50% of fees collected will be refunded to the licensee if this agreement is terminated by the licensor.

4. Upon the date of termination, any and all of the following described YOUTHRIVE CURRICULUM MATERIALS owned by Enacting Change: Windsor in Windsor, Ontario inhe YouThrive Curricula including and encompassing all education materials distributed by and on the www.enactusyouthrive.com and www.enactusyouthrive.ca website domains and all material therein as copyrighted and trademarked to Enacting Change: Windsor by innovation, Science and Economic Development Canada must be immediately returned to Enacting Change: Windsor or destroyed.

TERMINATION OF USE 

Enacting Change: Windsor may, in its sole discretion, terminate or suspend your access to all or part of the YouThrive website, including, but not limited to any bulletin boards on its site, for any reason, including without limitation, breach of this agreement. In the event this agreement is terminated, the restrictions regarding materials appearing on the site and the representations and warranties, indemnities, and limitation of liabilities set forth in this agreement shall survive any such termination. 

GOVERNING LAW; JURISDICTION AND VENUE 

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario exclusive of its choice of law principles. The Ontario courts shall have exclusive jurisdiction and venue over any dispute arising out of or relating to this Agreement, and each party hereby consents to the jurisdiction and venue of such courts. 

GENERAL PROVISIONS 

If any provision of this agreement is deemed void, unlawful or otherwise unenforceable for any reason, that provision shall be severed from this agreement and the remaining provisions of this agreement shall remain in force. This contains the entire agreement between you and Enacting Change: Windsor concerning your use of the site, and the agreement shall not be modified, except in writing, signed by both parties.
